Paramount/WBD Merger Delayed by State Lawsuit

Paramount and Warner Bros. Discovery have agreed to a significant delay in their proposed $111 billion acquisition, postponing the combination until after a judicial ruling on a lawsuit filed by twelve states challenging the merger's legality. The stipulation filed in court establishes that the merger will not be finalized, and the companies will not integrate their operations, until five days after a merits determination in the ongoing legal proceedings, or by June 1, 2027, whichever date comes first. This agreement also received consent from the Writers Guild of America, which had initiated its own legal action to prevent the merger. Should a merits determination not be reached by June 1, 2027, the plaintiffs retain the option to pursue a preliminary injunction to maintain the blockage of the deal. The office of New York Attorney General Letitia James characterized this development as "a months-long halt" to the merger. Attorney General James stated, "Halting this merger while our case proceeds is a critical victory in our efforts to uphold the law and protect the film and television industries."
